Company Incorporation
Focus can incorporate any of the following primary company types
in the Cayman Islands:
Ordinary Resident
An Ordinary Resident Company is the vehicle normally used when
the client intends to conduct business within the Cayman Islands.
Ordinary Resident Companies will normally require a 60% Caymanian
ownership of the business along with an application for a Trade
and Business Licence. In addition, all non- Caymanian employees
will be required to apply for a work permit from the Cayman Islands
Immigration Department.
Ordinary Non - Resident
This type of company is similar to an Exempt Company. However
an Ordinary Non-Resident Company must have at least one general
shareholders meeting annually.
The name of an Ordinary Non-Resident Company must include the
word “Limited” or “Ltd.” at the end and
maintain a register of members, which is open to inspection by
the general public.
Ordinary Non – Resident companies must also file an annual
report with the Registrar of Companies listing the directors,
officers shareholders.
Exempt
The Exempt company is the most popular vehicle used by clients
seeking an offshore business solution and is the main vehicle
used for offshore hedge funds. An Exempt Company is formed where
the business activity of the proposed company is mainly outside
the Cayman Islands. An Exempt Company may own assets in the Islands
provided the use of these assets does not constitute a trade.
The Exempt Company provides the additional benefit of a tax exemption
certificate granted for a period of up to 20 years as a safeguard
against the very unlikely event the Islands introduce a system
of company taxation. Exempt companies may apply for this benefit
under the Tax Concessions Law. The Company is not required to
hold shareholder’s meetings.
Foreign Companies
Companies incorporated outside the Islands wishing to conduct
business in the Islands may register as a Foreign Company. They
must provide certain information to the Registrar of Companies
including (i) Incorporation documents from their home country,
(ii List of directors including names, addresses and nationality,
and (iii)The name of a person resident on the Islands that is
authorized to accept documents on behalf of the company.
Registered Office Services
Focus provides registered office and company secretarial facilities
for companies and partnerships.
We provide a full registered office and company secretarial service,
which includes compliance with all regulatory and other legal
requirements to maintain a client’s companies in good standing.
Our service includes maintenance of all corporate records, provision
of corporate secretary if required, preparation of minutes of
annual general and statutory meetings, filing annual returns and
applying for the renewal of Trade and Business Licenses.
In addition documentation relating, for example, to company changes
of name, changes in shareholders, directors or officers and variations
in authorised capital is prepared, as well as more routine company
secretarial procedures.
